Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Calen360, a scheduling and calendar management platform operated by Perizer, Inc. (“Perizer,” “we,” “us,” or “our”). By creating an account or otherwise accessing the Service, you agree to be legally bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using Calen360 (the “Service”), you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization, in which case “you” refers to both you individually and that organization.
If you do not agree to these Terms, you are not permitted to access or use the Service. Continued use of the Service following any posted modification constitutes your acceptance of the revised Terms.
2. Description of Service
Calen360 is a cloud-based scheduling and calendar management platform that enables individuals and teams to streamline meeting coordination. Core capabilities include:
- Creating and sharing event types with customizable booking pages and public URLs
- Accepting, rescheduling, and cancelling meeting bookings
- Defining availability schedules, time zones, and buffer rules
- Connecting and synchronizing with Google Calendar and Microsoft Outlook
- Integrating video conferencing platforms (Zoom, Google Meet, Microsoft Teams)
- Collaborating with team members on shared event types and scheduling
- Embedding booking widgets on external websites and applications
- Accessing AI-assisted scheduling recommendations and meeting intelligence
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. For material changes, we will endeavor to provide at least 30 days’ advance notice.
3. Account Registration and Security
Access to most Service features requires a registered account. You agree to:
- Provide accurate, complete, and current registration information
- Maintain and promptly update your account information as necessary
- Keep your password and authentication credentials strictly confidential
- Accept sole responsibility for all activity that occurs under your account
- Notify us immediately at [email protected] of any unauthorized access or suspected breach
- Not share account credentials or permit multiple users to access the Service under a single account
Calen360 supports registration via email/password and OAuth providers (Google and Microsoft). When authenticating via an OAuth provider, you additionally agree to that provider’s applicable terms of service. We reserve the right to suspend or terminate accounts that violate these provisions or exhibit signs of fraudulent or abusive activity.
4. Subscription Plans and Payments
Calen360 offers free and paid subscription tiers. The following terms apply to all paid plans:
4.1 Billing Cycle
Paid subscriptions are billed on a recurring basis, either monthly or annually as selected at checkout. You authorize Perizer to charge your designated payment method at the beginning of each billing period. All fees are denominated in US Dollars unless otherwise specified.
4.2 Refunds
Subscription fees are non-refundable except where required by applicable law or where a verified technical failure prevented you from accessing the Service. Refund requests must be submitted in writing to [email protected] within 14 days of the charge and are subject to our sole discretion.
4.3 Plan Changes
Upgrades take effect immediately with prorated billing for the remainder of the current period. Downgrades take effect at the start of the next billing cycle. Perizer reserves the right to modify pricing with 30 days’ prior notice, provided that no price change shall apply to an in-progress billing period.
4.4 Taxes and Fees
Stated prices exclude applicable sales, use, value-added, or similar taxes. You are solely responsible for any taxes arising from your use of the Service. If Perizer is required to collect taxes on your behalf, such amounts will be added to your invoice.
4.5 Failed Payments
If a payment fails, we will attempt to re-process the charge and may notify you by email. Continued failure to remit payment may result in suspension or downgrade of your account to the free tier.
5. Acceptable Use Policy
You agree to use the Service exclusively for lawful purposes and in a manner consistent with these Terms. You must not, directly or indirectly:
- Violate any applicable local, state, national, or international law or regulation
- Transmit unsolicited commercial communications (spam) to other users or third parties
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Harvest, scrape, or collect personal data of other users without explicit consent
- Interfere with, disrupt, or create an unreasonable burden on the Service or its underlying infrastructure
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from any part of the Service
- Upload or transmit malware, viruses, Trojan horses, or other malicious or harmful code
- Use the Service for fraudulent, deceptive, or misleading purposes
- Resell, sublicense, or otherwise commercially exploit the Service without prior written consent from Perizer
- Use automated means (bots, scrapers) to access the Service in a manner that exceeds reasonable usage
Violations of this policy may result in immediate suspension or permanent termination of your account. Where appropriate, Perizer reserves the right to report violations to relevant law enforcement authorities.
6. Intellectual Property
6.1 Perizer's Property
The Service and all associated intellectual property — including but not limited to software, source code, user interfaces, designs, trademarks, service marks, logos, trade names, text, graphics, and documentation — are owned by or licensed to Perizer and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any part of our Service without our prior written consent.
6.2 Your Content
You retain full ownership of all content you create, upload, configure, or submit through the Service (“User Content”), including event types, booking page configurations, availability schedules, meeting notes, custom form responses, and associated data. By submitting User Content, you grant Perizer a limited, non-exclusive, worldwide, royalty-free license to host, process, display, and use that content solely to the extent necessary to provide and maintain the Service for you.
6.3 Feedback and Suggestions
If you provide Perizer with suggestions, ideas, enhancement requests, or other feedback about the Service (“Feedback”), you grant Perizer a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, incorporate, and otherwise exploit such Feedback without any obligation of compensation, attribution, or approval.
7. Third-Party Integrations
Calen360 supports integrations with third-party services including Google Calendar, Microsoft Outlook and Exchange, Zoom, Google Meet, and Microsoft Teams (collectively, “Third-Party Services”). Your use of any Third-Party Service is governed solely by that service’s own terms of service, privacy policy, and applicable agreements. Perizer is not responsible for the availability, accuracy, security, or practices of any Third-Party Service.
When you connect a Third-Party Service to Calen360, you authorize Perizer to access, read, and process data from that service — such as calendar events, contacts, and free/busy status — solely as necessary to deliver the integration features you have enabled. You may revoke any integration at any time from your account settings. Revoking access will disable the relevant integration features but will not affect data already synchronized.
8. Data and Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by this reference. By using the Service, you consent to Perizer’s collection, use, and sharing of information as described in that policy.
We implement industry-standard technical and organizational measures to protect your data. However, no security system is impenetrable, and we cannot guarantee the absolute security of your information. You are responsible for maintaining the security of your account credentials and for any data you choose to transmit to the Service.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PERIZER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Perizer does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected; (c) the Service or the servers that deliver it are free of viruses or other harmful components; or (d) the results obtained from using the Service will be accurate, complete, or reliable.
Scheduling and calendar data may be subject to errors, omissions, or delays introduced by Third-Party Services. Perizer is not liable for any missed appointments, double bookings, or other scheduling failures resulting from such third-party issues.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERIZER, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF PERIZER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PERIZER’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO PERIZER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
Certain jurisdictions do not permit the exclusion or limitation of incidental or consequential damages. In such jurisdictions, Perizer’s liability is limited to the greatest extent permitted by applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Perizer and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your User Content; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights, including intellectual property or privacy rights.
12. Term and Termination
12.1 Termination by You
You may close your account at any time by navigating to your account settings or by contacting us at [email protected]. Upon termination, your right to access and use the Service ceases immediately. Prepaid fees are non-refundable unless otherwise required by law.
12.2 Termination by Perizer
We may suspend or permanently terminate your account, with or without cause and with or without prior notice, if we reasonably determine that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to the Service or other users. Where feasible, we will provide advance notice before termination.
12.3 Effect of Termination
Following account termination, Perizer will retain your User Content for up to 90 days, after which it will be permanently deleted from our systems, subject to legal retention obligations. Sections 6, 8, 9, 10, 11, and 13 of these Terms shall survive any termination or expiration.
13. Governing Law and Dispute Resolution
These Terms and any disputes arising from or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Before initiating formal proceedings, you agree to contact Perizer at [email protected] and attempt to resolve any dispute through good-faith negotiation for at least 30 days. If the dispute is not resolved, it shall be submitted to binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, with proceedings conducted in English.
YOU AND PERIZER EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
